Terms of Service

3.1 Age Requirements

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old.

3.2 Account Registration

To access certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4.1 Business Users

If you register as a business, you represent and warrant that:

• You have the authority to bind your organization to these Terms
• You will provide accurate information about campaign requirements
• You will pay influencers in accordance with agreed-upon terms
• You comply with all applicable advertising and marketing laws

4.2 Influencer Users

If you register as an influencer, you represent and warrant that:

• You own or control the social media accounts you connect to Momfluence
• You have the right to post content on behalf of businesses
• You will create authentic content that complies with platform policies and applicable laws
• You will clearly disclose sponsored content in accordance with FTC guidelines and applicable regulations
• You are responsible for all content you create and post

5.1 Prohibited Activities

You agree not to:

• Violate any laws, regulations, or third-party rights
• Post false, misleading, or fraudulent information
• Impersonate any person or entity
• Harass, abuse, or harm other users
• Upload viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our Services or systems
• Scrape, data mine, or use automated tools to access our Services without permission
• Interfere with or disrupt the integrity or performance of our Services
• Post content involving children under 18 without proper legal authorization and consent
• Use the Services for any illegal or unauthorized purpose

5.2 Content Standards

All content posted through our Services must:

• Comply with applicable laws and regulations
• Not infringe on intellectual property rights
• Not contain hate speech, threats, or graphic violence
• Not promote illegal activities
• Be appropriate for a general audience

6.1 Momfluence Property

The Services, including all software, technology, designs, trademarks, and content provided by Momfluence, are owned by Momfluence Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Services without our express written permission.

6.2 User Content

You retain ownership of content you create and post through our Services ("User Content"). By posting User Content, you grant Momfluence a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving our Services.

6.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant Momfluence the right to use such feedback without any obligation or compensation to you.

7.1 Business Payments

Businesses agree to:

• Pay all applicable fees for Services as posted on the platform
• Compensate influencers according to agreed-upon campaign terms
• Provide valid payment information
• Pay any applicable taxes

7.2 Influencer Payments

Influencers will receive payment for completed campaigns according to the terms agreed upon with businesses. Momfluence may charge service fees or commissions as disclosed on the platform.

7.3 Payment Processing

All payments are processed through our secure payment provider. You agree to comply with the payment provider's terms and conditions. Momfluence is not responsible for any issues arising from payment processing services.

11.1 Service "As Is"

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 No Guarantee of Results

Momfluence does not guarantee:

• That campaigns will achieve specific results
• The quality or accuracy of content created by influencers
• The reliability or conduct of other users
• Uninterrupted or error-free operation of our Services

11.3 Third-Party Relationships

Momfluence facilitates connections between businesses and influencers but is not a party to any agreements between them. We are not responsible for disputes, breaches, or issues arising from such relationships.

14.1 Termination by You

You may terminate your account at any time by contacting us or using account settings. You remain responsible for all charges incurred prior to termination.

14.2 Termination by Momfluence

We may suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Any other reason at our sole discretion

14.3 Effect of Termination

Upon termination:

• Your right to access and use our Services immediately ceases
• We may delete your account and User Content
• Outstanding payment obligations survive termination
• Provisions that by their nature should survive termination will remain in effect

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15.2 Arbitration

Any dispute arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the Arbitration Act (Ontario), except that either party may seek injunctive relief in court to prevent irreparable harm.

15.3 Class Action Waiver

You agree that any proceedings to resolve disputes will be conducted on an individual basis and not in a class, consolidated, or representative action.

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Momfluence.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. Momfluence may assign these Terms without restriction.

17.5 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Momfluence.

17.6 Force Majeure

Momfluence shall not be liable for any failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, war, riot, cyber-attacks, or failure of third-party services.
